These Terms & Conditions ("Terms") govern your use of socialfuel.us and your purchase or use of services from SocialFuel LLC ("SocialFuel," "we," "us," or "our"). SocialFuel provides SEO, websites, content, digital PR, reputation, analytics, call tracking, live chat, and related marketing services exclusively for law firms.
By using the website, submitting an order, or purchasing a service, you agree to these Terms on behalf of yourself and, if applicable, the law firm or business you represent. If you do not agree, do not purchase or use the services.
Our services are designed for attorneys and law firms. You represent that you have authority to purchase services and provide instructions, materials, account access, and approvals for the law firm identified in your order.
The service description, price, limits, deliverables, billing cadence, and any service-specific terms shown on the applicable product page, checkout page, proposal, invoice, or written order form are part of your agreement with SocialFuel.
If a service-specific written term conflicts with these Terms, the more specific service term controls for that purchase. Work outside the purchased scope may require a separate order or additional fee.
Unless the applicable service page or written order states otherwise, fees are non-refundable once work has begun, time has been incurred, or third-party costs have been committed. Monthly fees are not prorated or refunded for a partially used billing period except where required by law. Cancellation does not eliminate amounts already due.
You are responsible for providing accurate information, timely approvals, required content, authorized account access, and a responsive point of contact. You must have the rights and permissions needed for any text, images, trademarks, testimonials, case results, data, credentials, or other materials you ask us to use.
Delays in access, content, approvals, payments, or third-party decisions may extend delivery timelines. You are responsible for maintaining appropriate backups and administrative control of your own website, domains, email, advertising, analytics, social, and business accounts.
SocialFuel is a marketing company, not a law firm, and does not provide legal advice. Your law firm is responsible for reviewing and approving marketing materials for factual accuracy, legal accuracy, professional-responsibility rules, advertising disclosures, testimonial or case-result requirements, privacy obligations, call-recording or communication-consent rules, and any jurisdiction-specific requirements that apply to your firm.
You are also responsible for conflict checks, legal advice to prospective clients, engagement decisions, and the handling of leads after they are delivered to your firm.
SocialFuel may use employees, contractors, white-label providers, software platforms, hosting companies, publishers, public-relations distributors, link-building providers, reputation providers, scholarship administrators, call or chat vendors, analytics tools, and other third parties to fulfill services. You authorize us to share the business information reasonably necessary to perform the purchased work.
Third-party products and platforms may have their own terms, privacy policies, eligibility rules, editorial standards, usage limits, pricing, approval processes, and availability. SocialFuel does not control third-party outages, policy changes, publisher decisions, platform enforcement, account suspensions, or changes to search and AI systems.
Marketing outcomes depend on competition, market conditions, your website, your reputation, client response, search-engine and AI systems, publisher decisions, platform rules, and other factors outside SocialFuel's control. We do not guarantee rankings, traffic, leads, signed cases, revenue, map-pack placement, indexing, AI citations or recommendations, backlinks, media coverage, publisher acceptance, review removal, star ratings, profile approval, or scholarship links unless a service-specific written guarantee expressly says otherwise.
When a service states "up to" a quantity, that number is a maximum service scope and not a promise that every available placement, link, review removal, visitor, minute, or opportunity will be used or achieved.
Google, Bing, ChatGPT, other AI products, directories, social platforms, publishers, and review sites control their own rankings, citations, displays, policies, and decisions. No agency controls those systems.
You retain ownership of materials you provide to SocialFuel. You grant SocialFuel a non-exclusive license to use, edit, reproduce, transmit, and publish those materials as reasonably necessary to perform your services.
After full payment, you may use final custom deliverables created specifically for your firm, subject to any third-party licenses, platform restrictions, stock-asset terms, software licenses, publisher rights, and SocialFuel's pre-existing tools, templates, processes, know-how, code libraries, systems, and methodologies. SocialFuel retains ownership of its pre-existing materials and general methods.
Unless you ask us in writing not to, SocialFuel may identify your law firm as a client and display public-facing work, publicly available campaign materials, or screenshots in a portfolio, case study, or sales presentation. We will not intentionally disclose non-public confidential business information for this purpose.
Each party should use reasonable care with non-public information received from the other party and use it only for the business relationship. This does not restrict information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
Do not send confidential case files, medical records, Social Security numbers, passwords, privileged communications, or other highly sensitive information through a general SocialFuel form or ordinary email unless we specifically request it through an appropriate method.
Our Privacy Policy applies to SocialFuel's collection and use of personal information. When SocialFuel processes prospective-client information through a law firm's website, live chat, call intake, analytics, CRM routing, or similar systems, the law firm may be the business or controller responsible for that data and its privacy notices, consent requirements, retention decisions, and legal use.
SocialFuel may use AI-assisted or automated tools for research, drafting, analysis, reporting, workflow support, and content development. These tools may make mistakes. Your law firm remains responsible for reviewing legal content, factual claims, citations, attorney biographies, case results, and other professional materials before approval or publication.
We may suspend or terminate services for nonpayment, misuse, illegal activity, abusive conduct, security risk, repeated failure to provide required access or approvals, requests that violate platform rules, or other material breach of these Terms. You remain responsible for fees and committed costs incurred before suspension or termination.
Sections that by their nature should survive termination - including payment obligations, intellectual-property provisions, disclaimers, liability limits, indemnity, and dispute terms - remain in effect.
To the maximum extent permitted by law, SocialFuel provides the website and services on an "as is" and "as available" basis and disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that services will be uninterrupted, error-free, or achieve a particular business result.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
To the maximum extent permitted by law, SocialFuel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost cases, lost data, loss of goodwill, or loss caused by a third-party platform, publisher, vendor, search engine, AI system, account suspension, algorithm change, or client delay.
To the maximum extent permitted by law, SocialFuel's aggregate liability arising from a particular service or order will not exceed the amount you paid SocialFuel for the service or order giving rise to the claim during the six months before the event giving rise to liability; for a one-time service, the cap is the amount paid for that order.
You agree to defend, indemnify, and hold harmless SocialFuel and its owners, personnel, and contractors from third-party claims, damages, penalties, or reasonable costs arising from materials or instructions you provide, your law firm's legal services, attorney-advertising violations, unlawful or misleading claims approved by your firm, infringement by client-supplied materials, failure to obtain required privacy or recording consents, or misuse of delivered leads or data, except to the extent caused by SocialFuel's own unlawful conduct.
Neither party is responsible for delay or failure caused by events beyond reasonable control, including widespread internet or cloud outages, cyber incidents, platform failures, government action, natural disasters, labor disruptions, war, civil disorder, or failures of critical third-party providers. Payment obligations for work already performed or committed costs are not excused.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes that cannot be resolved informally will be brought in a state or federal court with jurisdiction in Houston, Texas, and each party consents to that venue and jurisdiction.
Before filing a lawsuit, the parties agree to make a reasonable good-faith effort to resolve the dispute directly.
We may update these Terms as our services, pricing structures, vendors, technology, or legal obligations change. The effective date at the top shows when the current version became effective. Material changes may be posted on the website or communicated in another reasonable manner. Changes do not retroactively alter a signed written order unless that order permits it.
